1. NAME.
a. The name of this association is the U.S.S. NOXUBEE (AOG-56)
Shipmates Association.
2. OBJECTIVES.
This is a non-profit organization whose objectives are:
a. To perpetuate the memory of the U.S.S. NOXUBEE (AOG-56)
b. To locate and facilitate comradeship among the shipmates of the
U.S.S. NOXUBEE.
c. To organize and carry out reunions and other events for the
shipmates of U.S.S. NOXUBEE.
3. CONSTRAINTS.
a. The powers of the association reside with its members. These
powers are exercised on behalf
of the membership by the officers and
board of directors of the association.
b. No part of the net earnings of the Association shall inure to the
benefit of, or be distributable to
its members, trustees, officers,
or other private persons, except that the Association shall be
authorized and empowered to pay reasonable
compensation for services
rendered and to make
payments and distributions in
furtherance of
the purposes set forth in Article 2 hereof.
c. The Association shall not use propaganda or otherwise attempt to
influence legislation, and the
Association shall not participate in,
or intervene in (including the publishing or distribution of
statements) any political campaign on behalf of or
in opposition to
any candidate for public
office.
d. In the event of dissolution of the Association, assets shall be
distributed to a qualified non-profit
charitable organization (e.g..
Navy Relief, or the Navy Home).
4. MEMBERSHIP.
a. Any person who was attached to the U.S.S. NOXUBEE (AOG-56) in a
permanent or
temporary status, and his spouse, are eligible for
membership in the association. A member in
good standing pays
dues
and he and his spouse are eligible to vote in association matters. A
member- at-large is any former crew
member who does not pay dues and
he and his spouse
are not eligible to vote in
association matters.
b. Widows of U.S.S. NOXUBEE shipmates may elect to remain on the
membership role,
participate in
association events, and receive any
association membership mailings. Widows do
not pay dues nor
have
voting privileges.
c. Honorary membership may be conferred by acclamation of the
members present at a reunion
meeting.
No dues nor voting privilege.
d. Membership is terminated by death, or by resignation, of the
member.
e. Dues, set for each calendar year by the Board of
Directors, are solicited from the members,
but are not mandatory.
5. BOARD OF DIRECTORS.
a. To provide direction, continuity, and control on the operations
of the association, the Board of
Directors shall be elected at each
reunion, and shall consist of 5 or more members. The
President and
the Reunion Coordinator will be ex-officio members of the Board. A
Chairman
of the Board shall be elected from the board
membership.
b. The Board shall consist of members whose experience and knowledge
will assist the President
and Reunion Coordinator in administering
reunion activities and duties. Any member in good
standing is
eligible for service on the Board.
c. The Board of Directors shall select and submit, without comment,
a slate of officers, and Board
of Directors, for election at the
reunion business meeting.
6. OFFICERS.
The following officers shall be elected at the business meeting of
each reunion: President,
Secretary/Treasurer, and members of the
Board of Directors.
a. The President shall serve as chief executive officer of the
association, preside at all reunion
business meetings, and perform
the accrued duties and responsibilities of the office of President.
In the event of the incapacity of the President to fulfill
his
duties for any reason, the Board of
Directors shall appoint an interim
President to serve until a new President is elected at the
next
general meeting.
i. The President will direct and monitor the day-to-day business of
the association.
ii. In conjunction with the selection of a reunion site for the next
reunion, the President will
appoint a Reunion Coordinator for the
next reunion.
iii. The President will appoint qualified volunteer members (or
member) as the webmaster for
the U.S.S. NOXUBEE web site, and as the
association newsletter editor.
b. The Secretary/Treasurer shall keep minutes of meetings, maintain
an up- to-date membership
file, present reports to the President and
membership and perform other routine duties of a
secretary. The
Secretary/Treasurer shall be custodian of all material donated to
the association,
or purchased with association funds. The
Secretary/Treasurer shall be responsible for all
association funds,
collect membership dues, keep accounts of all receipts and
disbursements,
pay approved bills, give quarterly
reports to the
President, and a report to the membership at
the reunion.
7. MEETING.
a. A meeting of the association shall be held at the time of each
reunion. The President shall a call
a meeting of the Board of
Directors prior to the Membership meeting, and another meeting of
the Board, if necessary, after the Membership
meeting.
8. DUES.
a. Annual dues shall be established by the Board of Directors and
approved by the members at
the annual membership meeting. Dues paid
will cover the calendar year January I through
December 31.
9. ASSOCIATION MATERIAL AND FUNDS.
a. All material donated to or purchased with Association funds shall
become the sole property of
the Association and shall be actually or
constructive in the custody of the Secretary/Treasurer.
10. COMMITTEES.
a. Committees may be appointed as deemed necessary by the President
or Board of Directors.
11. AMENDMENTS.
a. These bylaws may be amended by a two-thirds vote of members
present at the reunion
membership meeting.
